Welcome to Tavia Health Inc. Please read on to learn the rules and restrictions that govern your use of our in-person care, website(s), application(s), and mobile application(s) (the “Services”). It is important that you read and understand these terms before you use any of our Services, including your access to telehealth, in-clinic based care, and in-home therapy services (physical, occupational, and speech therapy), referral services, electronic health record (EHR) systems, administrative support, this website (https://www.taviahealth.io/) and related web-based and mobile applications (collectively, the “Services”).
Tavia Health Inc., a Delaware corporation, ("Tavia Care LLC (a wholly owned subsidiary of Tavia Health Inc.", “Tavia”, “Tavia Health” “we,” “us,” or “our”), operates as a management services organization (MSO) and independent practice association (IPA). Tavia Health provides administrative, operational, and contracting support to independent contractor licensed therapists (the “Tavia Health Professionals”).All clinical services, including physical, occupational, and speech therapy, are delivered solely by the Tavia Health Professionals, who are independently licensed and responsible for patient care.
By accessing or using the Services, you agree to be bound by these Terms, and our Privacy Policy, which outline our compliance with the Health Insurance Portability and Accountability Act (HIPAA) and other applicable U.S. healthcare privacy laws. Do not use these services If you do not agree with these Terms of Service.
Privacy and HIPAA Compliance
Tavia Health Inc. is committed to protecting your privacy in accordance with HIPAA and other applicable federal and state laws. Our Privacy Policy (which can be accessed via the link at the bottom of our home page) details how we collect, use, share, and protect your personal information and protected health information (PHI). Key points:
Children’s Privacy: We do not knowingly collect personal information from children under 13 without parental consent, per the Children’s Online Privacy Protection Act (COPPA). If you are under 13, do not attempt to register or provide personal information. If we discover such data, we will delete it. Contact info@taviahealth.io if you believe a child under 13 has provided information without consent.
U.S.-Only Data Collection: We do not collect data from individuals residing outside the United States. If you reside outside the U.S., do not use the Services.
Data Retention: We retain PHI and other records as required by HIPAA, including medical and billing records, even if your account is deactivated. In compliance with HIPAA, Tavia Care LLC enters into Business Associate Agreements with our Independent Contractor clinicians.
Electronic Communications: You consent to receive electronic communications (e.g., email, text) for legal disclosures, updates, appointment reminders, or marketing, subject to HIPAA safeguards. You may opt out of non-essential communications via account settings or by replying “stop” to texts.

Acceptance of Terms
Your use of the Services constitutes acceptance of these Terms, forming a binding Agreement between you and Tavia Health Inc. If you accept these Terms on behalf of a minor or another person (e.g., as a parent or legal guardian), you agree to these Terms on their behalf and grant permission for their treatment, subject to applicable law. For minors under 18, a parent or legal guardian must consent to treatment, and for minors under 16, a parent must be present during sessions, unless a legal exception applies.
Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting updated Terms on the Site. If you do not agree with the changes, you must stop using the Services. Continued use after the effective date binds you to the updated Terms.
Account Registration and Security
To access certain Services, you may need to create an account with accurate and complete information (“Account Information”). You are responsible for:
Protecting your username and password.
Notifying us immediately of unauthorized account use or inaccurate information.
Using caution on public/shared devices to prevent unauthorized access.
Tavia Health Professionals must comply with any applicable Provider Agreement.
You may not transfer your account without our prior written consent.
Use of Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Services for personal, non-commercial purposes (or as agreed in a Provider Agreement for Tavia Health Professionals). You agree to comply with all applicable laws, including HIPAA and other applicable laws and regulations.
Prohibited Actions
You may not:
Engage in defamatory, abusive, discriminatory, harassing, obscene, or otherwise objectionable behavior, as determined by Tavia Health Inc.
Use automated tools (e.g., robots, spiders) to access, scrape, or data mine the Services.
Interfere with, access, tamper with, or disrupt the Services, servers, or networks.
Attempt to probe, scan, or test the security of the Services or breach authentication measures.
Collect or store personal information without consent, except as permitted for Tavia Health Professionals under HIPAA and our Provider Agreement.
Infringe intellectual property rights or violate privacy/confidentiality rights.
Use the Services for commercial purposes without permission or to send unsolicited communications (e.g., spam).
Remote Therapeutic Monitoring (RTM)
If available, you may participate in Remote Therapeutic Monitoring (RTM), which includes digital prompts (e.g., via app or text) to monitor your care plan. Participation is voluntary, and you can opt out via app settings (Profile/Settings) or by replying “stop” to RTM texts. RTM data may be submitted to your insurance provider, subject to HIPAA.
Consent to Treatment
By using our Services, you consent to examination, therapy procedures, and care provided by Tavia Health Professionals. You acknowledge potential risks (e.g., injury) from therapy services and agree to follow your care plan.
Fees and Payment
General Fees
You are responsible for deductibles, co-pays, or non-covered services per your insurance policy. Notify us immediately of insurance changes to avoid balances being owed.
Insurance and Financial Responsibility
You agree to pay for services provided by the Tavia Health Professionals. Your financial responsibility will be determined once we process your insurance information and verify eligibility. You are responsible for any deductibles, co-pays, coinsurance, or non-covered services as determined by your insurance policy. You must notify us immediately of any changes to your insurance coverage to avoid additional balances owed.
Self-Pay Patients
Tavia Health Professionals set their own no-show fees, cancellation fees and self-pay rates.
Payment Processing
Payments are processed via a third-party processor (e.g., Stripe), subject to the Stripe Services Agreement. You agree to provide accurate billing information and authorize charges to your chosen payment method (e.g., credit card, bank account). You must promptly update billing information and notify us or Stripe of any issues (e.g., canceled card or security breach).
Good Faith Estimate
Under the No Surprises Act, you have the right to a Good Faith Estimate (GFE) of treatment costs if uninsured or not using insurance. Request a GFE before scheduling and save a copy. If a bill substantially exceeds the GFE, you can dispute it via: www.cms.gov/nosurprises or by calling 1-800-985-3059.
Reviews and Feedback
You may provide reviews, feedback, or surveys about the Services (“Reviews”). Reviews must:
Reflect your personal experience and opinion.
Be truthful, non-defamatory, and free of abusive, profane, or offensive content.
Avoid discussing billing, insurance, or treatment accuracy (formal complaints should be submitted via our Contact Us page).
Be clear, using proper grammar and avoiding excessive capitalization or emojis.
Avoid identifying details you would not want shared publicly.
With your consent, Reviews may be shared publicly or with Tavia Health Professionals to improve Services or for marketing. You grant Tavia Health Inc. a royalty-free, perpetual, sublicensable, irrevocable license to translate, modify, reproduce, and distribute Reviews, subject to HIPAA. We may remove Reviews that violate these Terms or our Review Guidelines at our discretion.
Intellectual Property
Tavia Health Inc. and its licensors retain all ownership rights, title, and interest (including intellectual property rights) in the Services, Site, software, EHR systems, content, and related materials (collectively, “Tavia Health Materials”). No rights are granted to you except as expressly stated in these Terms.
You grant Tavia Health Inc. a royalty-free, perpetual, sublicensable, irrevocable license to translate, modify (for technical purposes), reproduce, and distribute your User Submissions (e.g., Reviews, feedback) to operate and improve the Services, subject to HIPAA and our Privacy Policy.

Third-Party Links and Services
The Services may include links to third-party websites or services (e.g., payment processors). We are not responsible for their content, privacy practices, or operations. Termination
You may stop using the Services at any time by ceasing access. We may suspend or terminate your access at our discretion, including for breach of these Terms, without prior notice. Upon termination, HIPAA-required records (e.g., medical and billing records) will be retained as required by law. Provisions such as payment obligations, intellectual property, indemnity, and dispute resolution survive termination.
Warranty Disclaimer
As permitted by applicable law, the Services and Tavia Health Materials are provided “as is” and “as available” without warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted/error-free access. We do not guarantee the accuracy, reliability, or suitability of the Services.
Limitation of Liability
To the fullest extent permitted by applicable law, Tavia Health Inc., its affiliates, licensors, and suppliers are not liable for indirect, special, incidental, punitive, or consequential damages, including lost profits, data losses, or business interruption, arising from the Services, whether based on contract, tort, or otherwise. Our total liability is limited to the greater of $125.00 or the out of pocket fees you paid for Services in the 12 months prior to a claim.
Indemnity
The User agrees to indemnify, defend, and hold harmless Tavia Health Inc. its affiliates, officers, directors, employees, agents, and contractors (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees and court costs (collectively, "Claims"), arising out of or relating to:
User's breach of these Terms of Service;
User's negligence, willful misconduct, or violation of applicable laws, including but not limited to the Health Insurance Portability and Accountability Act (HIPAA);
User's misuse of the Services, including unauthorized access or disclosure of Protected Health Information (PHI); or
Any third-party claims resulting from User's actions or omissions in connection with the Services provided under these Terms.
Choice of Law and Arbitration
These Terms are governed by the laws of the State of Delaware, excluding conflict of laws principles. Any dispute arising from these Terms will be resolved through binding arbitration in New Castle County, Delaware, under the Streamlined Arbitration Rules of Judicial Arbitration and Mediation Services, Inc. (JAMS), by a single arbitrator with expertise in commercial contracts. Judgment on the arbitration award may be entered in any court of competent jurisdiction. You waive the right to a jury trial or class actions. Injunctive or equitable relief may be sought in Delaware state or federal courts in New Castle County. Arbitration will occur on an individual basis.
Notice of Nondiscrimination
Tavia Health Inc. complies with federal civil rights laws and does not discriminate based on race, color, national origin, age, disability, or sex. You may also file a civil rights complaint with the U.S. Department of Health and Human Services, Office for Civil Rights, at ocrportal.hhs.gov/ocr/portal/lobby.jsf or 200 Independence Avenue, SW, Room 509F, HHH Building, Washington, D.C. 20201.
Miscellaneous
No Third-Party Beneficiaries: No third-party beneficiaries are intended.
Assignment: You may not assign, delegate, or transfer these Terms or your account without our prior written consent. We may assign them without restriction.
Severability: If any provision is invalid or unenforceable, the remaining provisions remain in effect.
Entire Agreement: These Terms, along with the Privacy Policy, Notice of Privacy Practices, and Healthcare Services Consent, constitute the entire agreement, superseding prior agreements.
Waiver: Our failure to enforce any right does not waive future enforcement.
Electronic Documents: These Terms and related electronic documents are legally enforceable as signed writings.
